Exclusivity Agreement

1. Purpose
This Exclusivity Agreement supplements the Terms of Service and governs the terms of the Exclusive Territory product offered by StormSnipe. When you purchase an Exclusive Territory product, StormSnipe makes specific commitments to you regarding data restriction within a defined geographic area and time window.
2. The Exclusivity Commitment
Upon purchase of an Exclusive Territory product for a qualifying storm event, StormSnipe commits that:
During the 48-hour exclusivity window (beginning at the exact timestamp of your purchase as recorded in our systems), StormSnipe will not sell or deliver the same storm event address list to another contractor who has identified themselves as operating in the same trade type (defined in Section 4) within the affected metro area.
3. Territory Definition
The "exclusive territory" is defined as the geographic area described by the NOAA NWS Severe Thunderstorm Warning polygon that corresponds to the specific storm event for which you purchased exclusivity.
Territory definitions are derived from official government-issued data and are not negotiable. The polygon may cover a portion of a metropolitan area, an entire metropolitan area, or cross county or municipal boundaries.
If two NWS warning polygons are associated with the same storm system (e.g., a storm system that triggers multiple sequential warnings), each polygon constitutes a separate territory. Exclusive purchase of one polygon does not grant exclusivity over adjacent polygons.
4. Trade Type Specificity
Exclusivity is granted per trade type. The trade types recognized by StormSnipe are: - Roofing - Solar - Fencing / Outdoor structures - Siding / Gutters - Auto Body / Paintless Dent Repair - Insurance / Public Adjusting
A roofing contractor purchasing exclusive territory does not prevent StormSnipe from simultaneously selling a Solar Upsell Pack to a solar contractor for the same event and geographic area. Different trade types do not compete.
Your trade type is determined at registration and may be updated in your account settings prior to purchase.
5. Shared Pack Availability After Exclusivity Period
After the 48-hour exclusivity window expires, StormSnipe may – at its discretion – make the affected storm event address list available as a Shared Lead Pack at standard pricing. No notice is required.
6. StormSnipe's Good-Faith Obligation
StormSnipe will implement reasonable technical controls to enforce exclusivity restrictions. Our systems log the timestamp and trade type of each exclusive purchase and block conflicting sales during the active window.
StormSnipe does not guarantee that our systems are error-free. In the event of a confirmed system error that results in an exclusivity violation (i.e., the same list was delivered to a same-trade competitor during your exclusive window), StormSnipe's sole remedy obligation is to issue a full refund of your Exclusive Territory purchase price or, at your election, a credit of 150% of the purchase price toward a future exclusive territory purchase.
7. No Guarantee of Commercial Success
StormSnipe's exclusivity guarantee does not guarantee that homeowners in the territory will retain contractors, that any contract will be awarded, or that any revenue will result from your canvassing efforts. The exclusivity is a data-access restriction, not a competitive or commercial guarantee.
8. Verification
StormSnipe does not verify the geographic service areas of purchasing contractors beyond the metro preference selected in their account. If multiple contractors selecting the same metro purchase exclusive territory for the same event in sequence (with the second arriving after the 48-hour window has lapsed on the first), each may hold exclusivity in sequence. Simultaneous competing purchases for the same trade type within the exclusivity window are blocked.
9. Modifications
StormSnipe reserves the right to modify the exclusivity model (e.g., adjusting the exclusivity window duration or tier pricing) with 30 days' notice to active Pro subscribers. Changes do not affect exclusivity periods already purchased.
