Media License Agreement

1. License Grant
Subject to the terms and conditions of this Media License Agreement ("Agreement") and payment of the applicable license fee, Harper AI, Inc. grants to the licensee ("Licensee") a limited, non-exclusive, non-sublicensable, non-transferable license to access and display the StormSnipe live weather HUD stream ("Stream") as specified in the applicable license tier purchased.
2. License Tiers
(a) Local Zone License – $500/month. HD Stream filtered to the Licensee's designated DMA (Designated Market Area). StormSnipe watermark is retained. Licensee may overlay their own branding. Coverage is limited to the specified DMA.
(b) Regional License – $1,000/month. Multi-DMA stream covering a state or geographic region as agreed in writing. Co-branded overlay options available. Priority technical support.
(c) National License – $2,000/month. Full nationwide stream. White-label option available (StormSnipe watermark removed upon request and at StormSnipe's discretion). Custom overlay support included.
(d) Clip License – $200/event or $800/month. Rights to use recorded StormSnipe HUD video clips in broadcast content and online publications. Attribution required (see Section 6).
3. Permitted Use
Licensee may display the Stream: - In live television broadcasts; - On Licensee's owned and operated website and mobile applications; - In online video content (YouTube, social media) with attribution; - In internal training or demonstration materials.
4. Prohibited Use
Licensee may NOT: - Sublicense, sell, or redistribute the Stream or any portion thereof to third parties; - Remove StormSnipe watermarks without written authorization from StormSnipe; - Represent the Stream as Licensee's own proprietary data or technology; - Use the Stream for purposes unrelated to weather information or news reporting; - Archive or republish recorded Stream segments without a Clip License.
5. Watermark and Attribution
All displayed Stream content must retain the StormSnipe watermark unless Licensee has purchased a National License and received written authorization for white-label use.
Clip License usage requires the on-screen or verbal attribution: "Data provided by StormSnipe (stormsnipe.com)" at or near the time of display.
6. Stream Availability
StormSnipe operates the Stream on a best-effort basis. StormSnipe does not guarantee uninterrupted stream availability. Planned and unplanned maintenance windows, technical failures, and upstream data source outages may result in stream interruptions. StormSnipe's target uptime for the Stream is 99% measured on a monthly basis, excluding scheduled maintenance windows of which at least 24 hours' notice is provided.
In the event of stream downtime exceeding 72 consecutive hours in a billing month, Licensee may request a prorated credit for the affected downtime.
7. Data Accuracy
The Stream displays real-time weather data from federal sources (NOAA, NWS). StormSnipe does not warrant the accuracy of weather data displayed in the Stream. Licensee is responsible for complying with all applicable broadcast standards regarding weather data disclaimers. Do not represent StormSnipe's data as a substitute for official NWS forecasts, warnings, or emergency management communications.
8. Billing and Term
License fees are billed monthly in advance on the license start date anniversary. The Agreement renews automatically on a monthly basis unless either party provides written notice of non-renewal at least 30 days before the renewal date.
For annual license commitments, fees are billed annually and are non-refundable.
9. Termination
Either party may terminate this Agreement by providing 30 days' written notice to press@stormsnipe.com. Upon termination, Licensee must immediately cease all use of the Stream and remove any archived Stream content from public platforms. StormSnipe may terminate immediately for material breach, including unauthorized sublicensing or watermark removal.
10. Limitation of Liability
StormSnipe's liability under this Agreement is limited to the fees paid by Licensee in the 3 months preceding the claim. StormSnipe is not liable for any broadcast errors, regulatory penalties, or third-party claims arising from Licensee's display or use of the Stream.
11. Governing Law
This Agreement is governed by the laws of the United States. Disputes shall be resolved by binding arbitration per the Terms of Service.
